Terms and Conditions

Please read these Terms and Conditions (“Terms”, “Terms and Conditions”) carefully before using the Planeolo SaaS product (the “Service”) operated by Room4 Media UK Ltd (“us”, “we”, or “our”).

Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, then you may not access the Service. If you are entering into this Terms agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. In that case, the terms or shall also refer to such entity, its staff and its affiliates, as applicable. If you do not have such authority, or if you do not agree with these terms, you may not use the Service. You acknowledge that these terms are a contract between you and planeolo.com, even though it is electronic and is not physically signed by you and planeolo.com, and it governs your use of the Service.

Violation of any of the Terms and Conditions may result in the termination of your account.

Subscription Plans

We offer three subscription plans: a Free version, a Starter version, and a Professional version. The billing cycle is every 30 days in arrears, and we offer a 14-day trial period for new users.

Payment Terms

We accept payments via credit card, and we use Stripe as our payment gateway. If a charge is refused after three attempts, we reserve the right to restrict your access to the Service until payment is received. In the event of a chargeback or payment dispute, we reserve the right to investigate and resolve the issue at our sole discretion. We may suspend or terminate your access to the Service during the investigation.

In connection with your purchase and/or use of the Service, you may be subject to taxes, including, without limitation, sales and use taxes, by any authority which has jurisdiction to impose such taxes. You agree that the obligation and payment of any such taxes shall be your sole and absolute responsibility, and you agree to indemnify planeolo.com to the extent that planeolo.com incurs any obligations or other liabilities in connection with such taxes.

You agree that in the event The Company is unable to collect the fees owed to the Company for the Services through your Account, the Company may take any other steps it deems necessary to collect such fees from you and that you will be responsible for all costs and expenses incurred by the Company in connection with such collection activity, including collection fees and legal costs. You further agree that the Company may collect interest at the lesser of 1.5% per month or the highest amount permitted by law on any amounts not paid when due.

Cancellation and Refund Policy

Users may cancel their monthly subscription at any time without prior notice. If a user prepaid for a full year, the payment is non-refundable. All payments authorized by you into your account are final. There is no refund of your account, regardless of whether you use the Services or not.

Account Registration

To register an account, you must provide your full name, email address, account name, and a secure password of at least 8 characters in length. You are responsible for maintaining the confidentiality of your password and for any activity that occurs under your account.

Acceptable Use Policy

Planeolo is intended for use by businesses offering professional services. If the Service is used in a malicious manner against other clients or Planeolo, we reserve the right to suspend or terminate your account without notice.

Intellectual Property Rights

All intellectual property rights, including but not limited to copyrights, trademarks, patents, and business processes, are owned by Room4 Media UK Ltd.

Third-Party Services and Links

Planeolo uses third-party services to operate the platform. While we strive to ensure the smooth operation of the Service, we are not responsible for any downtime or damage suffered by users due to issues with third-party services.

Limitation of Liability and Warranty Disclaimer

To the maximum extent permitted by applicable law, in no event shall Room4 Media UK Ltd, its directors, employees, or affiliates be liable for any direct, indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to the use of, or inability to use, the Service.

Indemnification

You agree to defend, indemnify, and hold harmless Room4 Media UK Ltd and its affiliates, directors, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney’s fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights, including but not limited to intellectual property rights.

Termination of Service

We may terminate or suspend your access to the Service, without prior notice or liability, for any reason, including, without limitation, if you breach these Terms, fail to pay any applicable fees, or if we determine, in our sole discretion, that your use of the Service is detrimental to our business or other users.

No Reselling Or Use Outside Of Permitted Terms

Other than using the Services as permitted under the terms and conditions of this Agreement or other written agreements between you and the Company, You may not resell, distribute, make any commercial use of, or use on a time-share or service bureau basis.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions.

Dispute Resolution

Any disputes arising out of or in connection with these Terms or your use of the Service shall first be attempted to be resolved through amicable negotiations between the parties. If the parties are unable to resolve the dispute through negotiation, either party may refer the dispute to arbitration in accordance with the rules of the Arbitration Act 1996 or any subsequent amendments thereto. The arbitration shall take place in the United Kingdom and be conducted in English. The decision of the arbitrator shall be final and binding on the parties.

Changes to the Terms and Conditions

We reserve the right to update or modify these Terms at any time without prior notice. It is your responsibility to periodically review these Terms for any changes. Your continued use of the Service following the posting of changes to these Terms constitutes your acceptance of those changes.

Miscellaneous

  1. Severability: If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
  2. Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
  3. Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and Room4 Media UK Ltd regarding the use of the Service, superseding any prior agreements between you and Room4 Media UK Ltd relating to your use of the Service.
